“Nicholas and Vishal are both valued resources and an integral part of our organization. We couldn't have achieved what we've done in such a short amount of time without them. Definitely have our recommendation for bookkeeping, taxation, regulatory and compliance.”

Stay on top of your filings
Your incorporating jurisdiction determines the annual registry deadline. Your corporate income tax return is a separate filing with the CRA.
File within 60 days after your incorporation anniversary, starting the year after incorporation. Federal corporations also file individuals with significant control information with their annual return.
Federal filing requirementsFile your Ontario annual return within six months after your fiscal year-end. Keeping registry information current and maintaining your internal records are ongoing responsibilities too.
Ontario filing requirementsEssentials includes corporate annual returns. For bookkeeping and CRA tax filings, see Complete bookkeeping and tax.
Your corporate records
Your minute book records how the corporation is owned and governed. It brings together articles, bylaws, shareholder and director resolutions, securities records, and other required registers. A one-person corporation needs these records too.
Keep signed director resolutions in the directors’ minutes and resolutions section. When shares are issued, keep the supporting documents and update the securities register so your records agree. These records support discussions with your accountant, bank, or a future buyer.
How it works
Provide your corporation name, number, incorporating jurisdiction, and the corporate documents you already have.
We review the available records with you and identify what needs attention. Tell us about missing documents or overdue filings before getting started.
Keep your minute book in Ribbon, have annual returns and resolutions handled, and request officer, director, or address updates as needed.

No. A corporate annual return updates information with the corporate registry. A T2 corporation income tax return is filed with the CRA. Essentials covers the corporate annual return; Complete includes corporate tax filing.
A federal corporation files within 60 days after its incorporation anniversary, beginning the year after incorporation. An Ontario corporation files within six months after its fiscal year-end. The deadline depends on the incorporating jurisdiction, not simply where you operate.
Yes. Having one shareholder or director does not remove corporate recordkeeping obligations. A minute book brings together articles, bylaws, registers, and corporate decisions. Registry filings alone do not replace those internal records.
Keep signed director resolutions with the directors’ minutes and resolutions in your minute book. Keep share-issuance documents with the related resolutions and update the securities register to reflect the issuance. They are part of the corporation’s internal records.
Yes, for eligible corporations. Government fees are additional where applicable. The new address must meet the jurisdiction’s requirements. Changing the registry record does not automatically update CRA, your bank, or other accounts.
Contact us with your corporation details and the documents you have so we can assess the work required. Missing historical records, overdue filings, and a dissolved corporation can require different steps; ongoing compliance is not a guarantee that every historical issue can be fixed.
